These Terms of Service ("Terms") govern your access to and use of the website (vdd.ai), and any related software, products, or services provided by Value Driven Data DMCC.
By accessing our website, creating an account, or subscribing to any Service, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity, in which case "you" refers to that entity.
VDD provides AI-powered software products designed primarily for distribution and manufacturing companies, including but not limited to inventory/stock forecasting, pricing intelligence, shipment and routing optimization, and data dashboarding tools. Services may be delivered via web application, API, or other means as described on our website or in your order form.
We may add, modify, or discontinue features of the Services at our discretion, with reasonable notice where a change materially reduces functionality you are paying for.
You must provide accurate, current, and complete information when creating an account.
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
You must notify us promptly at security@vdd.ai of any unauthorized use of your account.
Accounts are intended for use by a single business entity; you may not share credentials across unrelated organizations.
Fees: Use of paid Services requires a subscription. Fees are as set out in your order form, quote, or the pricing displayed on our website at the time of purchase.
Billing cycle: Subscriptions are billed [monthly/annually/as specified in your order form] in advance, via our payment processor, Stripe.
Payment processing: Payments are processed by Stripe, Inc. By subscribing, you also agree to Stripe's Services Agreement where applicable. VDD does not store your full payment card details.
Taxes: Fees are exclusive of applicable taxes (e.g., VAT), which will be added where required by law.
Late payment: We may suspend access to the Services if payment is not received within 1 day of the due date, following written notice.
Price changes: We may change our fees on renewal with at least 30 days' notice. Continued use after the effective date constitutes acceptance of the new fees.
Where a free trial is offered, it will convert automatically to a paid subscription at the end of the trial period unless you cancel before the trial ends. We will make reasonable efforts to notify you before conversion.
You may cancel your subscription at any time from your account settings or by emailing support@vdd.ai.
Cancellation takes effect at the end of your current billing cycle. You will retain access to the Services until that date.
We do not prorate or refund unused time within a billing cycle upon cancellation, except as described below.
Subscriptions: Fees already paid are generally non-refundable, except where required by law or at VDD's discretion in cases of demonstrable service failure attributable to VDD.
How to request a refund: Email support@vdd.ai with your account details and reason for the request. We aim to respond within 5 business days and, where approved, process refunds to the original payment method within 7–14 business days via Stripe.
Non-refundable items: Setup fees, custom implementation/integration work, and one-time professional services fees are non-refundable once work has commenced, unless otherwise agreed in writing.
We may suspend or terminate your access for breach of these Terms, non-payment, or unlawful use of the Services, with notice where reasonably practicable. In such cases, no refund will be issued for the current billing period.
You agree not to:
Use the Services for any unlawful purpose or in violation of applicable regulations;
Reverse engineer, decompile, or attempt to extract source code from the Services, except as permitted by
law;
Resell, sublicense, or provide the Services to third parties without our written consent;
Interfere with or disrupt the integrity or performance of the Services;
Use the Services to process data you do not have the right to process.
Our IP: The Services, including all software, models, designs, and content (excluding your data), are owned by VDD or its licensors and protected by intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable license to use the Services for your internal business purposes during your subscription term.
Your data: You retain all rights to the data you upload or input into the Services ("Customer Data"). You grant VDD a license to process Customer Data solely to provide and improve the Services, consistent with our Privacy Policy.
Feedback: If you provide suggestions or feedback, we may use it without obligation or compensation to you.
Each party agrees to protect the other's confidential information disclosed in connection with the Services using at least the same degree of care it uses for its own confidential information, and not to disclose it to third parties except as permitted under these Terms or required by law.
Our collection and use of personal data is described in our Privacy Policy. By using the Services, you consent to such processing in accordance with the Privacy Policy. Where VDD processes personal data on your behalf as a processor, the parties will enter into a separate Data Processing Agreement upon request.
We will provide the Services with reasonable skill and care.
Except as expressly stated, the Services are provided "as is" and "as available," without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, or non-infringement.
We do not warrant that the Services will be uninterrupted, error-free, or that any outputs, recommendations, or analyses generated by the Services will be accurate or suitable for any particular business decision. Outputs are provided as decision-support tools, not guarantees.
To the maximum extent permitted by law:
VDD's total liability arising out of or related to these Terms or the Services shall not exceed the total fees paid by you in the 1 month preceding the claim.
VDD shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunity, even if advised of the possibility of such damages.
Nothing in these Terms limits liability that cannot be limited under applicable law (e.g., fraud or willful misconduct).
You agree to indemnify and hold VDD harmless from claims, damages, and expenses (including reasonable legal fees) arising from your misuse of the Services or violation of these Terms, except to the extent caused by VDD's breach of these Terms.
These Terms remain in effect for as long as you use the Services. Either party may terminate as described in Section 5. Sections that by their nature should survive termination (including Intellectual Property, Confidentiality, Limitation of Liability, and Governing Law) will survive.
These Terms are governed by the laws of the United Arab Emirates, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE.
We may update these Terms from time to time. Material changes will be notified via the website or email at least 7 days before taking effect. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
